1. Agreement to Terms

Codeziper provides software development, mobile app development, SEO, API development, and related digital services. The specific scope, deliverables, timelines, and pricing for each engagement are defined in individual project agreements or statements of work (SOW).

We reserve the right to refuse service to anyone for any reason, and to modify, suspend, or discontinue our services with or without notice.

3. Intellectual Property

Upon full payment for a project, the client receives ownership of the custom code and deliverables created specifically for them. Codeziper retains ownership of:

• Pre-existing tools, frameworks, and libraries
• General methodologies and processes
• Any open-source components (governed by their respective licenses)
• Portfolio rights to display the project as past work

4. Payment Terms

Payment schedules are outlined in individual project agreements. Standard terms include:

• 50% upfront payment before project commencement
• Milestone-based payments as defined in the SOW
• Final payment before final delivery and code handover
• Late payments may incur interest at 1.5% per month

5. Confidentiality

We maintain strict confidentiality regarding your project details, business information, and technical specifications. We are prepared to sign Non-Disclosure Agreements (NDAs) prior to detailed project discussions upon request.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Codeziper shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from:

• Use or inability to use our services
• Unauthorized access to or alteration of your data
• Third-party actions or content
• Force majeure events

7. Website Use

You agree not to use our website to:

• Violate any applicable laws or regulations
• Transmit harmful, offensive, or malicious content
• Attempt unauthorized access to our systems
• Scrape or harvest data without written permission
• Impersonate Codeziper or its employees

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

9. Modifications

Codeziper reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the new terms.
